Early Warrant Exercise Incentive Program

HOUSTON, TX - TriStar Gold Inc. (the “Company”) is pleased to announce that, further to its news release dated October 20, 2015, the TSX Venture Exchange has accepted for filing the Company’s proposed incentive program to encourage the early exercise of up to 19,682,250 outstanding common share purchase warrants (the "Eligible Warrants"). The Eligible Warrants, as originally issued, are exercisable into one common share of the Company at $0.13 per share until December 21, 2016.
The Company is now offering to the Warrant holders the option to receive a Warrant Exercise Unit (as defined and described below) for each Eligible Warrant exercised from November 16, 2015 until December 15, 2015 (the “New Warrant Expiry Date”) at the price of $0.13 per Warrant Exercise Unit. This offer is not available to Warrant holders who are insiders and pro group members.
Each holder of an Eligible Warrant who elects to exercise their Eligible Warrant at the price of $0.13 prior to the New Warrant Expiry Date of the incentive program will receive a unit (a "Warrant Exercise Unit") comprised of one common share and one-half of a warrant (a "New Warrant"). Each whole New Warrant will allow the holder to acquire an additional common share of the Company at a price of $0.20 per share until December 21, 2016. The New Warrants, and any shares issued upon exercise thereof, will be subject to a four-month hold period. If an Eligible Warrant holder chooses not to exercise their Eligible Warrants by the New Warrant Expiry Date, the Eligible Warrants will continue to be exercisable for common shares on the same terms that previously existed, as will the warrants held by insiders of the Company and pro group members.
